** Purpose of job:
- Corporate: Corporate secretary for the company; Cleaning of corporate issues; Screening and follow-up of business/investment/import licenses/ respective applicable laws to company business (HR/operation/technical...)
- Finance/Credit: To prepare annual AGM documentation, monitor Members of Council expiration and submit the renewal on tme. Review legal requirement of Bank Guarantees; Pro-active support to credit management (warning letters, sales contracts/PO, negotiation for guarantees, bad debt collection thru litigation
- Business permits: Monitor and renew all permits required by laws including but not limited to business licenses, construction permits, firefighting, environment certificates; Monitor and organize renewal of company car, trucks and equipment license; Document filing and retention: both in soft copy and hard copy
- Report to Authorities; Prepare and submit all reports required by MPI/DPIs and other authorities on a timely and regular basis.
- Litigation: Review company's position on each dispute: potential dispute and current litigation on the company; Work closely with external lawyer and or
legal consultant in case the company use their services; Implementation and follow-up of an efficient and relevant archive system for corporate and legal documents (hard copies + soft copies); Legal support (agreement drafting or review, preparing documents and follow up with claims against bad debtors and other litigation cases) and make respective proposals.
- Others: Performing other tasks required by CFO/BOM
- Prequalification and Tenders; Provide copies or original legal documents, corporate and business licenses on the prequalification and tender process; Monitor the above documents, licenses and permits; Collect and to file the original documents, licenses and permits once the process completed
- Contract and Agreement: Screening of all business contract and agreement, including and not limited to sales contract, leasing and supply contracts and subcontractors (recap table with conditions, payment terms) and identification of missing agreements
- Corporate and Branches Licenses: Monitor and renew all corporate & branches licenses, Update all related licenses and to adjust if there is any changes on the authorized person on the company and changes on related regulation; File (both in soft copy and hard copy) and secure all original permits in a proper storage.
**Key Performance Indicators:
Following KPI setting for each period and evaluated twice per year (first half ended 30 June & second half ended 31 Dec)
- Bachelor Degree on law
- Excellent in MS office
- Minimum 3 years in legal areas
- Communication skills
- Fluent in English/Vietnamese
